1. Acceptance of Terms

By accessing or using Foldase ("Service"), operated by Foldase Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. You must be at least 18 years old to use the Service.

2. Description of Service

Foldase is a pipeline intelligence platform that extracts structured data from publicly available SEC filings, earnings call transcripts, press releases, and other public sources for biotech companies. The Service provides structured briefs, change detection, and evidence packs.

You should not make any investment decisions based solely on information provided by Foldase. Always consult with qualified professionals before making investment decisions.

3. User Accounts

Account creation and authentication is managed through Clerk. You are responsible for maintaining the confidentiality of your account credentials. Each user may maintain one account. Accounts operate within workspaces that isolate data between organizations.

4. Subscription & Billing

Foldase offers Free, Pro ($49/month), and Team ($149/month) plans. New workspaces receive a 14-day Pro trial. Payment is processed by Stripe. Subscriptions auto-renew unless cancelled. You may cancel at any time; access continues until the end of the billing period. Refunds are prorated for the unused portion of the current billing period when requested within 14 days of charge.

5. Acceptable Use

You agree not to:

  • Scrape, crawl, or automated-access the Service beyond API rate limits
  • Redistribute, resell, or sublicense extracted data or briefs
  • Attempt to reverse engineer the extraction algorithms
  • Upload malicious files or content
  • Use the Service to violate any applicable law or regulation

Rate limits are enforced per plan (Free: 100/hr, Pro: 1,000/hr, Team: 5,000/hr).

6. Intellectual Property

Our IP: The extraction algorithms, user interface, and all software code are owned by Foldase Inc.

Public data: SEC filings and other government data are in the public domain. ClinicalTrials.gov data is public.

Your uploads: You retain ownership of documents you upload. By uploading, you grant us a license to process the document for the purpose of providing the Service.

Extracted briefs: Briefs are derivative works generated by our algorithms. You receive a license to use them per your plan.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. Data is stored encrypted in Cloudflare R2 (US). Workspace isolation ensures your data is not accessible to other organizations.

  • BEST-EFFORT ACCURACY. Extracted data is generated by AI algorithms and may contain errors. Always verify critical information against primary sources.
  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

9. Limitation of Liability

To the maximum extent permitted by law, the Company's total liability shall not exceed the fees paid by you in the 12 months preceding the claim. The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Termination

We may suspend or terminate your account for violation of these terms. You may delete your account at any time via Settings. Upon deletion, a 30-day grace period applies before permanent data removal per our Privacy Policy.

11. Changes to Terms

We may update these terms with 30 days' email notice to registered users. Continued use after the notice period constitutes acceptance.
